This work was originally written with modest expectations.
With the proliferation of a number of well-entrenched works on
Corporation law, the original edition was supposed to supplement
existing materials on the subject. There was an effort to provide
a simplified but exhaustive approach to existing materials as well
as additional discussion on unexplored aspects of corporation law.
Thankfully, this work is now being used even as a main textbook
on Corporation law in many schools. Hence, the author is grateful
to those who used the past editions. This new edition is part of his
effort to reciprocate by improving and updating this compendium
of materials on Corporate and related laws.
As in the previous editions, the Introduction to Part I is a
discussion of the laws and jurisprudence on the different types of
business organizations while the rest of Part I are the notes to the
provisions of the Corporation Code. Part II contains a topical presentation
of the basic concepts of securities regulations. Part III presents
portions of the Records of the Batasang Pambansa that reflect the
discussion of the legislators on the provisions of the Corporation
Code.
This edition contains new and important judicial decisions, Securities
and Exchange Commission opinions and rules and additional
discussions on selected topics. The additional rules brought about
by the passage of the Philippine Competition Act, Republic Act No.
10667 are included in the discussion. The 2015 Implementing Rules
and Regulations of the Securities Regulations Code (2015 IRR-SRC),
the Tenth Foreign Investment Negative List promulgated in May
2015 by the Office of the President as well as other relevant regulations
issued by different government agencies are likewise taken
into consideration in the discussion.

2. Sold products are packed and available for courier pickup and consolidation within twenty-four (24) hours after the order has been processed and approved.

3. If an order will not be available within 24 hours or is out-of-stock, the customer will be notified via email and will be advised if and when the item will become available.

4. The customer has the option to  have the order canceled and the customer will not be charged for the order.

5. To track the status of an order, log in to Rex e-Store account then go to 'My Account' >> 'History and details of my orders'.

COURIER TRANSIT TIME

Metro Manila : 3-5 days,
Provincial : 4-6 days

SHIPPING

1. Orders are normally dispatched on the next business day following the day the order was confirmed to the customer. Orders for delivery within Metro Manila will be delivered within 3 to 5 days from the process date of the order. While for the orders to be delivered to a provincial destination will take 5 to 10 days from the process date to be delivered.
2. However, Rex Book Store shall properly coordinate with its authorized courier who is responsible for the shipment, to properly compensate the customer.

RETURNS

1. If you would like to return a book purchased in Rex e-Store due to product defect, Rex Book Store shall facilitate a replacement. However, shipping and handling charges are non-refundable.
2. Please advise us within seven (10) days from receipt of the item, of your intent to return an item, including the corresponding reason or actual product defect. You may send us the advice via email at orders@rexestore.com or . A notice of replacement shall be issued to the customer once request is approved.
